Casus

Beheer BV heeft onmiddellijk na haar oprichting alle aandelen in A BV gekocht. De koopsom is door A gefinancierd door middel van een lening aan Beheer. Het geleende bedrag was deels afkomstig uit eigen middelen van A en voor het overige uit een lening en een rekening-courantkrediet, beide door de bank aan haar verstrekt. Voor deze lening en dit krediet heeft A zekerheden aan de bank verstrekt. Een aantal jaren later failleert A. De bank heeft de zekerheden uitgewonnen, waarmee haar op de faillissementsdatum bestaande vordering op A geheel is voldaan. De curator vordert van de bank betaling van dit bedrag: de met de bank gesloten financieringsovereenkomsten zijn nietig wegens strijd met artikel 2:207c lid 2 BW omdat de financiering ertoe strekte de lening voor de aankoop van de aandelen in A mogelijk te maken; de daarmee gepaard gaande zekerheidsovereenkomsten zijn nietig wegens strijd met artikel 2:207c lid 1 BW.

 

Hoge Raad

Het tot de vennootschap gerichte verbod om zekerheid te stellen met het oog op het nemen of verkrijgen door anderen van aandelen in haar kapitaal of van certificaten daarvan ziet niet op deze ‘doorleenconstructie’: uit de van de bank geleende gelden is weliswaar door de vennootschap een lening aan een derde verstrekt opdat deze aandelen in de vennootschap zou kunnen verkrijgen, maar de vennootschap heeft slechts zekerheid verstrekt voor haar eigen leenschuld aan de bank.
