Keuken (HR 14-01-2000, RvdW 2000, 21)
Feiten:
Vendoplan Keukenmeubilair levert door middel van een driepartijenlease-overeenkomst (feitelijk: huurkoop als bedoeld in artikel 7A:1765h e.v. BW) een keuken aan Meissner von Hohenmeiss. Vendoplan draagt de eigendom van de keuken over aan Arenda, welke hem vervolgens in lease geeft aan Meissner von Hohenmeiss. Meissner betaalt een gedeelte ineens en het restant wordt gefinancierd. Volgens Meissner schort er van alles aan de keuken en dus schort zij betaling van de aflossingstermijnen op. Arenda is het hiermee oneens, daar zij slechts financier en niet de leverancier van de keuken is.
HR:
Uit het arrest gepubliceerd in NJ 1999, 97 vloeit voort, dat er sprake is van verbondenheid tussen de twee rechtsverhoudingen in een dergelijke situatie, gezien in het licht van artikel 7A:1576h lid 3 BW.
Nu de opschorting van een overeenkomst veelal gezien kan worden als het begin van ontbinding van de overeenkomst, dient te worden aangenomen, dat als er sprake is van de in het arrest genoemde verbondenheid, ook het opschortingsrecht jegens de financier kan worden ingeroepen.
