Het feit dat slechts een deelnemer aan de bijeenkomsten tussen concurrerende ondernemingen zijn intenties kenbaar maakt, is niet afdoende om het bestaan van een mededingingsregeling uit te sluiten. De criteria van coördinatie en samenwerking vereisen niet dat er een werkelijk ‘plan’ moet zijn opgesteld, maar dienen te worden verstaan in het licht van de in de verdragsvoorschriften inzake de mededinging besloten voorstelling dat iedere ondernemer zelfstandig moet bepalen welk beleid hij op de gemeenschappelijke markt zal voeren.

Deze eis van zelfstandigheid sluit weliswaar niet uit dat de ondernemer gerechtigd is zijn beleid intelligent aan het vastgestelde of te verwachten marktgedrag van de concurrenten aan te passen, maar staat anderzijds ‘onverbiddelijk’ in de weg aan enigerlei tussen zulke ondernemers al dan niet rechtstreeks opgenomen contact strekkende hetzij tot beïnvloeding van het marktgedrag van een bestaande of mogelijke concurrent, hetzij tot beduiding aan zulk een concurrent van het aangenomen of voorgenomen marktgedrag.

De vaststelling dat een onderneming met haar deelneming aan een bijeenkomst met een mededinging verstorend doel er niet alleen naar streeft de onzekerheid over het toekomstig gedrag van haar concurrenten bij voorbaat uit te sluiten, maar bij de bepaling van haar marktbeleid noodzakelijk, al dan niet rechtstreeks, rekening heeft moeten houden met de informatie die zij tijdens die bijeenkomsten had gekregen, geldt ook wanneer de deelneming van een of meer ondernemingen aan bijeenkomsten met een mededinging verstorend doel niet het uitwisselen van informatie inhoudt, maar zich beperkt tot het ontvangen van inlichtingen over het toekomstig gedrag van hun concurrenten op de markt.
