Casus
Ondernemer Tibbett & Britten houdt zich bezig met transport en distributie van consumentengoederen. Haar belangrijkste opdrachtgevers hebben hun overeenkomst met de onderneming opgezegd. Daarom heeft de ondernemer de ondernemingsraad advies gevraagd over haar voornemen het distributiecentrum in Zoetermeer te sluiten en alle daar werkzame werknemers te ontslaan. Tibbett is voornemens een sociaal plan op te stellen om tegemoet te komen aan de gevolgen van het ontslag. De ondernemingsraad staat negatief tegenover het besluit, omdat zij vindt dat er sprake is van overgang van onderneming en de werknemers niet ontslagen dienen te worden. Voorts vinden zij het sociaal plan niet acceptabel.
Rechtsvraag
Heeft Tibbett in redelijkheid tot het besluit kunnen komen?
Ondernemingskamer
In casu is het niet aannemelijk geworden dat de ondernemer zich beter had moeten inspannen om nieuwe opdrachten te verwerven. Ook is er geen sprake van overgang van onderneming, nu er geen overname van de activa of het personeel van de onderneming heeft plaatsgevonden. Dus kunnen de werknemers van het distributiecentrum ontslagen worden.
In aanmerking moet worden genomen dat Tibbett in een slechte financiële situatie verkeert en dat het sociaal plan is opgesteld met instemming van FNV Bondgenoten. Niet kan worden gezegd dat Tibbett niet in redelijkheid heeft kunnen komen tot het sociaal plan.
