Opstalrecht - Arrest

HR 11 maart 1981 (Opstalrecht)

Casus:

A verkocht aan B een oppervlakte grond met daarop verspreid staande gebouwen, onder het voorbehoud van het recht van opstal van het gekochte. Het ging dus om de overdracht van bloot-eigendom. Bovendien was het de bedoeling dat bij de overdracht ook de gebruiksrechten van de grond gedurende de opstaltermijn aan de opstalhouder zouden toekomen. De inspecteur legt een aanslag tot naheffing van overdrachtsbelasting op. De waarde van het overgedragen bloot-eigendom is namelijk verschillend al naar gelang het gebruiksrecht van de grond als een zakelijk onderdeel van het opstalrecht is te beschouwen (dit vermindert de omvang van het bloot-eigendom en maakt de heffing dus lager) of als een afzonderlijke obligatoire huurverhouding moet worden gezien. De vraag is dus of een opstalrecht een gebruiksrecht en een recht van vruchttrekking kan omvatten, waardoor de heffing van de overdrachtsbelasting lager zou zijn, omdat de overgedragen bloot-eigendom het gebruiksrecht niet omvat.

Rechtsregel:

De bevoegdheid de zaak waarop het opstalrecht rust te gebruiken en daarvan de vruchten te trekken vloeit naar de aard van het opstalrecht alleen daaruit voort indien en voor zover dat nodig is voor het volle genot van dat recht, maar bij de akte van vestiging mogen partijen de bevoegdheden van de opstaller nader regelen en mogen zij hem ook bevoegdheden toekennen die niet nodig zijn voor het volle genot van het recht, mits die bevoegdheden in zodanig verband staan met die welke aan de opstaller naar de aard van dat recht toekomen.
