Te goeder trouw ten uitvoer brengen van wettig gemaakte overeenkomsten.
Casus
DE RK Internationale Vereniging tot bescherming van meisjes sluit een overeenkomst met een aannemer voor de bouw van een tehuis voor vrouwen en meisjes. De aannemer wil dat de vereniging een bedrag voor 'meer- of minderwerk' betaalt. De vereniging weigert dit. Naar aanleiding van de clausule in het aannemingscontract wordt er een bindend advies van de arbitrageraad Bouwbedrijven uitgebracht, de vereniging wordt (bindend) geadviseerd de aannemer te betalen; de vereniging weigert echter. De aannemer dagvaart de vereniging voor de rechtbak tot betaling van het bedrag voor meer- of minderwerk. De vereniging laat verstek gaan en de rechtbank wijst de vordering toe, na verzet wordt het vonnis bekrachtigd. Het Hof bekrachtigt het vonnis eveneens. De vereniging stelt beroep in cassatie in: het advies zou geen bindende kracht hebben omdat er een onjuistheid zat in de motivering van het advies van de school.
Hoge Raad
Een in het gelijk gestelde partij kan slechts met succes de bindende kracht van een bindend advies bestrijden wanneer het advies uit hoofde van inhoud of wijze van totstandkoming zozeer indruist tegen hetgeen redelijk en billijk is, dat degene die in het gelijk is gesteld is, in strijd met de goede trouw zou handelen door de in het ongelijk gesteld gebonden te willen houden aan het advies. In casu is hiervan geen sprake, de bindende kracht kan in casu niet besteden worden. Huize Lydia wordt dan ook niet in het gelijk gesteld. Naar vaste rechtspraak kan de uitvoering van een bindend advies worden getoetst aan art 6: 248 BW, waarbij ons hoogste rechtscollege heeft beslist.
