Ondernemer in de zin van de WOR; welke OR is bevoegd in concernverhoudingen?
In deze beschikking gaat het over de voorgenomen overdracht van 80% van de aandelen HSA aan de Franse vennootschap Thomson door NPB. HSA had advies gevraagd aan de aan HSA verbonden GOR.
Voor de beantwoording van de vraag aan welke ondernemingsraad in een concernstructuur advies moet worden gevraagd, is volgens de OK niet beslissend aan welke ondernemingsraad advies is gevraagd. Uitgangspunt is dat niet op verschillende niveaus van medezeggenschap advies behoeft te worden gevraagd, maar slechts op één niveau. Van belang is welke bestuurder het aangevochten besluit – mede – heeft voorgenomen. Daaraan doet niet af dat dat voornemen past in het concernbeleid, aangezien dat de eigen verantwoordelijkheid van die bestuurder niet wegneemt en evenmin dat een andere ondernemer binnen het concern bij het besluit is betrokken.
In dit geval is er geen sprake van een zodanig gemeenschappelijk belang voor alle of voor de meerderheid van de ondernemingen waarvoor een centrale ondernemingsraad is ingesteld dat op die grond aan de COR advies moet worden gevraagd. De aan NPB verbonden COR is daarom niet-ontvankelijk in zijn vordering tegen NPB.
