Onderwerp: bankgarantie
Casus:
Interflow Holding BV komt met Gesnoteg overeen een bankgarantie te doen stellen tot zekerheid voor de voldoening van een schuld. Pierson (de bank) heeft op verzoek van Interflow op 12 juni 1992 een bankgarantie afgegeven met o.a. de volgende relevantie tekst: "Pierson (de bank) verbindt zich mitsdien .. na betekening middels deurwaardersexploit aan Pierson van .. (een zekere) verklaring .. aan .. (Gesnoteg) .. te voldoen het bedrag van Fl 100.000,-". De bankgarantie is dus pas verkregen indien aan de voorwaarden van de garantie is voldaan. Gesnoteg stuurt wel de verlangde verklaring op, maar vergeet dat te doen via betekening met deurwaardersexploit.
Rechtsvraag:
Hoe moet de bankgarantie uitgelegd worden? In hoeverre is er plaats voor derogerende werking van redelijkheid en billijkheid?
Hoge Raad:
De tekst van de bankgarantie wordt gelet op de positie van de bank en met het oog op de functie van een bankgarantie binnen het handelsrecht, strikt uitgelegd.
De redelijkheid en billijkheid brengen met zich mee dat een bank een onverwijlde mededelingsplicht heeft waarbij de bank dient ante geven op welke punten niet aan de voorwaarden is voldaan. In het bijzonder wanneer herstel nog mogelijk is. De bank mag niet dralen tot de ter zake van die garantie overeengekomen termijn is verstreken.
