Casus
Met het oog op de overname van een onderneming zijn overeenkomsten gesloten ten name van een op te richten vennootschap. Die vennootschap is evenwel nooit opgericht. Bekrachtiging van die overeenkomsten is geschied door een reeds bestaande vennootschap. Haar statuten zijn onder meer zodanig gewijzigd dat haar naam overeenkwam met die van de beoogd op te richten vennootschap en dat de werkzaamheden van de overgenomen onderneming binnen haar doelomschrijving pasten. Komen deze overeenkomsten te gelden tussen de vennootschap en de wederpartij?
Hoge Raad
Dergelijke contractuele gebondenheid is mogelijk, ook al is niet voldaan aan de formele vereisten van artikel 2:203 BW.
Onderzocht moet worden of deze vennootschap kan worden aangemerkt als de vennootschap die partijen in het kader van hun contractuele verhouding, zoals deze zich op grondslag van de door hen gesloten overeenkomsten nader heeft ontwikkeld, uiteindelijk op het oog hebben gehad en voorts of in het licht van alle omstandigheden van het geval goede grond bestaat voor gebondenheid aan de gesloten overeenkomsten. Daarbij moet worden gelet op de algemene regels betreffende de totstandkoming van rechtshandelingen en hetgeen derden daaromtrent mogen aannemen (artikel 3:35 en 3:36 BW) en volmacht en bekrachtiging (artikel 3:61 en 3:69 BW).
De Hoge Raad vernietigt het arrest van het hof en verwijst het geding ter verdere behandeling en beslissing.
