Feiten
Hier gaat het onder andere om de vraag of de omstandigheid dat een vennoot feitelijk niet als vennoot werkzaam was invloed heeft op zijn aansprakelijkheid. Of weegt het vertrouwen van de wederpartij (Essent) die gebaseerd is op de inschrijving in het handelsregister zwaarder?
Casus
Vaststaat dat de VOF van appellant in november 2003 in het handelsregister van de Kamer van Koophandel stond ingeschreven en ook dat appellant als één van de vennoten van de vof als zodanig stond ingeschreven. Appellant stelt verder dat hij feitelijk niet als vennoot werkzaam heeft willen zijn of is geweest.
Het Hof
Het door appellant in hoger beroep gestelde feit dat hij feitelijk niet als vennoot werkzaam heeft willen zijn of is geweest, kan niet met succes aan Essent worden tegenwerpen. Essent mag afgaan op de inschrijving in het handelsregister. Appellant kan dus aansprakelijk worden gehouden.
