Het verbod van artikel 101 lid 1 VWEU kan slechts worden toegepast op voorwaarde dat de
betrokken overeenkomst ertoe strekt of ten gevolge heeft dat de mededinging binnen de gemeenschappelijke markt wordt verhinderd, beperkt of vervalst.
Deze voorwaarden moeten worden bezien in het licht van de feitelijke omstandigheden van de overeenkomst. Een overeenkomst kan dan ook aan het verbod van artikel 101 VWEU ontkomen wanneer zij, wegens de zwakke positie welke belanghebbenden op de markt voor de betrokken producten innemen, de markt slechts in zeer geringe mate beïnvloedt.
