Burgman / Aviolanda (HR 11 mei 1951, NJ 1952, 128)
Feiten
Burgman en Aviolanda sluiten een overeenkomst, inhoudende dat Aviolanda voor Burgman 250.000 kammen uit duraluminium zal vervaardigen. Aviolanda blijkt echter achteraf niet in staat te zijn om de overeenkomst uit te kunnen voeren en pleegt derhalve wanprestatie. Artikel 2 Bedrijfsvergunningenbesluit verbood echter bedrijven om zonder vergunning van de Secretaris-Generaal over te gaan tot productie van andere goederen, dan welke geproduceerd werden ten tijde van inwerkingtreding van dat besluit.
Procesverloop
Burgman dagvaart Aviolanda voor de rechtbank Dordrecht en vordert ontbinding en schadevergoeding van Aviolanda wegens niet-nakoming van de overeenkomst. De rechtbank wijst de vordering van Burgman toe. Hierop gaat Aviolanda in hoger beroep bij het Hof 's-Gravenhage, welke het vonnis vernietigd. Burgman blijft het oneens met dit vonnis en gaat in cassatie bij de HR.
Rechtsregel
Artikel 2 Bedrijfsvergunningenbesluit heeft de strekking om ontwikkeling van het bedrijfsleven mogelijk te maken. Bij overtreding van dit artikel begaat de producent een strafbaar feit. Het artikel verbiedt niet het aangaan van een overeenkomst, noch de prestatie van de overeenkomst uit te voeren.
De overeenkomst zou slechts nietig zijn, indien beide partijen bij het aangaan van de overeenkomst, zich er van bewust waren, dat nakoming van de overeenkomst zou leiden tot overtreding van het wettelijk verbod. Hiervan is in casu niets gebleken. Nu het verbod de overeenkomst als zodanig onverlet laat, is ook een vordering uit wanprestatie en schadevergoeding mogelijk.
