Casus

Perry Sport hebben bedrijfsruimte gehuurd in het winkelcentrum Amicitia in Amersfoort. Dit winkelcentrum behoort toe aan ING Vastgoed Ontwikkeling BV. De bedoeling van het winkelcentrum was dat het een trekpleister zou worden, waar veel winkels en horecabedrijven zich zouden gaan vestigen. Maar in het nieuwe winkelgebied kwamen minder bezoekers dan verwacht en de omzetten waren eveneens lager dan verwacht. De huurders stelden zich op het punt dat er sprake was van een gebrek. De ligging van het gebied speelde daarbij een rol. De winkels konden namelijk slechts bereikt worden als men via een brede trap naar beneden was gelopen.

 

Hoge Raad

In de kern gaat het tussen partijen om de vraag wat bij gebreke van een specifieke contractuele voorziening in de rechtsverhouding van de huurders en SBZ tot het ondernemersrisico van de huurders moet worden gerekend, en om de vraag of de teleurtstellende bezoekersaantallen zijn op te vatten als een gebrek in de zin van artikel 7:204 lid 2 BW. In dit arrest oordeelde de Hoge Raad dat tegenvallende bezoekersaantallen voor rekening van de huurder komen. En er geen sprake was van een gebrek.
