Hof Amsterdam 7-2-2012, JOR 2012, nr. 76 - Arrest
Onderwerp: Besluitvorming binnen de raad van commissarissen, buiten spel zetten lid RvC.

Feiten:
Ajax is een beursgenoteerde structuurvennootschap met volledig regime. De vereniging Ajax bezit 73% van de aandelen in de vennootschap, alsmede de goedkeuringsrechten. De vereniging heeft ledenraad. Ajax heeft een ondernemingsraad (OR).
Er is een rapport opgesteld waarmee Ajax de jeugdopleiding optimaal kan vormgeven. Het plan ‘op weg naar succes’ vormt een uitwerking van het rapport.
Er worden besluiten genomen ivm de samenstelling van de directie, o.a. de aanstelling van Martin Sturkenboom, Danny Blind en Louis van Gaal. Cruijff (eiser in eerste aanleg) meent gepasseerd te zijn in deze beslissing en is het als lid van de RvC daar niet mee eens.
Rechtbank en Hof:
De voorzieningenrechter wijst toe dat de benoeming van Sturkenboom en Van Gaal tot statutair bestuurder geschorst moet worden, verder wijst zij de vorderingen van Cruijff c.s. af.
Ten Have c.s. stelt appel in tegen het toegewezene door de rechtbank, Cruijff voert in incidenteel appel aan dat de vorderingen naast het instandhouden van de eerdere toewijzing o.a. dat Ten Have c.s. geen verdere stappen mag nemen tot benoeming van Van Gaal of Sturkenboom, op last van dwangsom.
Het Hof is van mening dat Ten Have c.s. inderdaad Cruijff de mogelijkheid van daadwerkelijke invloed op zeer gewichtige besluitvorming heeft onthouden, en hebben het Hof ook niet van kunnen overtuigen dat er niet voldoende mogelijkheid was om tot een wel geldige besluitvorming te komen.
Het Hof verbiedt Ten Have c.s. verdere uitvoering te geven aan het voorgenomen besluit tot benoeming van Van Gaal en Sturkenboom, en wijst het verdere af.

There are several ways to navigate the large amount of summaries, study notes en practice exams on JoHo WorldSupporter.
- Starting Pages: for some fields of study and some university curricula editors have created (start) magazines where customised selections of summaries are put together to smoothen navigation. When you have found a magazine of your likings, add that page to your favorites so you can easily go to that starting point directly from your profile during future visits. Below you will find some start magazines per field of study
- Follow authors or (study) organizations: by following individual users, authors and your study organizations you are likely to discover more relevant study materials.
- Search tool: quick & dirty - not very elegant but the fastest way to find a specific summary of a book or study assistance with a specific course or subject. The search tool is available at the bottom of most pages or on the Search & Find page
- Tags & Taxonomy: gives you insight in the amount of summaries that are tagged by authors on specific subjects. This type of navigation can help find summaries that you could have missed when just using the search tools. Tags are organised per field of study and per study institution. Note: not all content is tagged thoroughly, so when this approach doesn't give the results you were looking for, please check the search tool as back up
