Vraag 1
Op 2 januari 2016 roept de bestuursvoorzitter van WME met spoed een bestuursvergadering bijeen. De reden hiervan is dat WME een aangetekende brief heeft ontvangen van het openbaar ministerie waarin het openbaar ministerie WME dringend om uitleg vraagt over een – volgens het openbaar ministerie – ernstig gebrek in de statuten van WME dat zelfs tot ontbinding van WME kan leiden. Welk gebrek is dit en kan dit gebrek inderdaad tot ontbinding leiden?

De statutaire zetel is volgens de statuten gelegen in Londen, VK. Dit is in strijd met art. 2:66 lid 3 BW dat zegt dat de zetel in Nederland moet zijn gelegen. Op grond van art. 2:21 lid 1 onder b BW ontbindt de rechtbank in dat geval de rechtspersoon, maar de rechtbank kan op grond van lid 2 de rechtspersoon een termijn gunnen om het gebrek te helen.
